LLC or sole proprietorship?

This is the first and most important decision. Choosing the wrong legal form and tax regime can cost you significantly, so before registering we always assess what works best for your activity, expected revenue and plans.

If you choose a sole proprietorship, the two most common tax regimes are flat-rate tax — a fixed monthly amount of tax and contributions — and the personal salary regime, where you keep business ledgers, pay yourself a salary and pay 10% tax on actual profit. Which one pays off depends on your revenue and costs, and we work that out together before registration.

What you need

• For a sole proprietorship: an ID document, a registered address and a business name.
• For an LLC: a founding decision (we draft it), the founder's ID, a registered address and share capital of at least RSD 100.
• For foreign founders: a passport and, where required, certified translations. We have extensive experience with founders based abroad and the entire process can be run in English.

Frequently asked questions

How long does it take to register a company in Serbia?

A sole proprietorship is usually registered at the APR within a day or two. For an LLC, expect a few working days from the moment the documentation is complete. After the decision comes opening a bank account and registering with the Tax Administration — we guide you through both.

Can I register a company if I live abroad?

Yes. The entire procedure can be handled remotely. You will need a passport and, depending on the case, certified translations and notarisations. We regularly work with founders living outside Serbia and communicate in English throughout.

Flat-rate or personal salary — which should I choose?

Flat-rate is a fixed monthly amount with no bookkeeping, available up to RSD 6,000,000 of annual revenue and only for permitted activities. The personal salary regime means keeping ledgers and paying 10% tax on actual profit — often better at higher revenue or with substantial costs. If you work mainly for one client, also check the independence test. We run the numbers with you before registering.

Do I need a separate business bank account?

Yes, a business account is mandatory for both sole proprietors and LLCs. Once the APR decision is issued we help you choose a bank and open the account.

Do I need a residence permit to own a company in Serbia?

Owning a company does not by itself require residence. However, if you intend to be employed by your own company or to live in Serbia, a temporary residence and work permit will normally be required. We will tell you which path fits your plans before you register.
